The Nominating Committee members will elect their own chairperson. A quorum shall consist of a majority of the members of the Nominating Committee.&nbsp;&nbsp;<\/p>\n\n\n\n<p>The term of members shall be set at two (2) years, with not more than two (2) members of the Nominating Committee being replaced annually to provide for continuity.&nbsp;&nbsp;<\/p>\n\n\n\n<p>The duties of the Nominating Committee shall be to collect, categorize, screen, and keep on file at the Principal Executive Office of the Corporation all applications and application-related materials submitted to the Regional Center by Trustee candidates for the Board positions. These applications and application-related materials shall be kept confidential; only the Board President, Executive Director, Board Secretary, and members of the Nominating Committee (including the representative of the Vendor Advisory Committee) may have access to them.&nbsp;&nbsp;<\/p>\n\n\n\n<p>Selection of Board Members: The Nominating Committee shall have the responsibility to seek out and select qualified candidates for presentation and election as Trustees, as provided for at Section 8 of Article IV of these Bylaws. In the event of a vacancy on the Board before the end of a term, the Nominating Committee shall present to the Board its recommendation for a person or persons to fill the vacancy.&nbsp;<\/p>\n\n\n\n<p>Selection of Officers: The Nominating Committee shall present a slate to the Board for the office of President, Vice President, Secretary, Treasurer, and ARCA delegate, as provided for at Section 2 of Article V of these Bylaws. In the event of a vacancy occurring in any office during a term of office, the Nominating Committee shall present to the Board its recommendation for a person or persons to fill the vacancy.&nbsp;&nbsp;<\/p>\n\n\n\n<p>Selection of Consumer Advisory Committee Members: The Consumer Advisory Committee shall be composed of adult consumers who reside in the regional center\u2019s catchment area and participate in five (5) Consumer Advisory Committee meetings during any 12-month period The Nominating Committee shall submit to the Board a slate of individuals to be appointed by the Board as Board Liaison to the Consumer Advisory Committee.&nbsp;&nbsp;<\/p>\n<\/div>\n\n\n\n<div class=\"wp-block-group is-layout-constrained wp-block-group-is-layout-constrained\">\n<h2 class=\"wp-block-heading\">Proceso<\/h2>\n\n\n\n<h5 class=\"wp-block-heading\">Presentaci\u00f3n y toma de posesi\u00f3n de los nuevos miembros de la Junta Directiva, funcionarios de la Junta Directiva y miembros del VAC<\/h5>\n\n\n\n<p>En las reuniones regulares de la Junta Directiva, se eligen los nuevos fideicomisarios, los nuevos miembros del VAC y, seg\u00fan sea necesario, los nuevos funcionarios de la junta. Se los elige seg\u00fan lo determinen las necesidades de la junta, de acuerdo con los estatutos y las pol\u00edticas de la junta del NLACRC. Los miembros de la Junta Directiva pueden cumplir mandatos consecutivos de 1, 2 o 3 a\u00f1os hasta por 7 a\u00f1os dentro de un per\u00edodo de 8 a\u00f1os. La elecci\u00f3n de miembros de la junta se realiza por mayor\u00eda de votos. Aunque la junta puede optar por dejar vacantes temporalmente algunos puestos en la junta por razones espec\u00edficas, no se pueden mantener vacantes m\u00e1s de siete puestos a la vez. Los miembros del VAC no pueden cumplir m\u00e1s de seis a\u00f1os y no m\u00e1s de dos miembros de una agencia pueden cumplir mandatos en el VAC al mismo tiempo.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\">Procesos operativos del Comit\u00e9 de Nominaciones<\/h5>\n\n\n\n<p>Para garantizar que el Comit\u00e9 de Nominaciones cuente con la membres\u00eda adecuada, el secretario1 deber\u00e1 mantener una lista actualizada de los miembros del comit\u00e9, indicando el nombre de cada miembro, la fecha de designaci\u00f3n y la fecha de terminaci\u00f3n del cargo. Esta lista se conservar\u00e1 en los archivos de la junta y se entregar\u00e1 una copia al presidente del Comit\u00e9 de Nominaciones.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\">Confidencialidad del Comit\u00e9 de Nominaciones<\/h5>\n\n\n\n<p>Por su propia naturaleza, el Comit\u00e9 de Nominaciones se ocupa de cuestiones que involucran a individuos y, en ocasiones, puede verse obligado a considerar acciones que afecten a miembros del comit\u00e9 y a otros miembros de la junta.<\/p>\n\n\n\n<p>Cada miembro del Comit\u00e9 de Nominaciones deber\u00e1 firmar una Declaraci\u00f3n de Confidencialidad en la primera reuni\u00f3n del comit\u00e9 cada a\u00f1o. La declaraci\u00f3n deber\u00e1 archivarse en el expediente del miembro de la junta directiva del NLACRC, que se encuentra a cargo del secretario.<\/p>\n\n\n\n<p>Para evitar cualquier apariencia de conflicto de intereses, si alg\u00fan miembro del Comit\u00e9 de Nominaciones ha solicitado cumplir un mandato adicional en el directorio o est\u00e1 siendo considerado para su nominaci\u00f3n a un cargo, deber\u00e1 ausentarse de la sala de reuniones mientras dure el debate sobre su solicitud\/nominaci\u00f3n.
